Shop Causes - Terms and Conditions

Application

The following Terms and Conditions are applicable to all websites previously, currently or that may in the future be operated by or on behalf of Shop Causes, a registered business name for Cyberplex Interactive Media Inc. All references to Shop Causes shall include Cyberplex Interactive Media Inc. The Shop Causes application and any predecessor or successor websites are referred to generically herein as “Shop Causes”. The services provided by Cyberplex Interactive Media Inc. via Shop Causes (other than third party websites accessible via Shop Causes) are subject to these Terms and any policies that may be published by Cyberplex Interactive Media Inc. from time to time. The Terms and any applicable policies comprise the entire agreement between you and Cyberplex Interactive Media Inc. and supersede all prior agreements regarding the subject matter contained herein.

Acceptance of Terms

BY USING SHOP CAUSES, YOU AGREE TO BE BOUND BY THE TERMS. IF YOU DO NOT WISH TO BE BOUND BY THE TERMS, IMMEDIATELY DISCONTINUE US-ING THIS WEBSITE OR APPLICATION. YOU GRANT CYBERPLEX INTERACTIVE MEDIA INC. THE RIGHT TO DISCLOSE TO THIRD PARTIES CERTAIN REGISTRATION DATA ABOUT YOU, WHICH DIS-CLOSURE IS MORE FULLY DESCRIBED IN AND GOVERNED BY THE PRIVACY POLICY. WE ASK THAT YOU PLEASE READ OUR PRIVACY POLICY SET FORTH BELOW AND ON SHOP CAUSES, BECAUSE IT CONTAINS THE TERMS AND CON-DITIONS OF OUR PERSONAL INFORMATION HANDLING PRACTICES. IN ADDI-TION, OUR PRIVACY POLICY IS INCORPORATED INTO, AND FORMS A PART OF, THESE TERMS AND YOU WILL THEREFORE BE SUBJECT TO THE PROVISIONS CONTAINED IN OUR PRIVACY POLICY YOU AGREE NOT TO HOLD CYBERPLEX INTERACTIVE MEDIA INC. LIABLE FOR ANY DAMAGE TO, ANY DELETION OF OR ANY FAILURE TO STORE YOUR REG-ISTRATION DATA AND INFORMATION.

Grant of Limited License

Subject to the license granted herein, you retain all rights in and to any of the informa-tion you upload to Shop Causes. In order to enable Cyberplex Interactive Media Inc. to provide Shop Causes, you grant Cyberplex Interactive Media Inc. and its designated licensees a non-exclusive, royalty free, worldwide right to copy, distribute, use in con-nection with the operation of Shop Causes, such material, regardless of the medium, technology, or form in which it is used. Such use by Cyberplex Interactive Media Inc. may include, but will not be limited to, use of any information or images posted to Shop Causes to be included as part of a screen option, demonstration or brochure for the purpose of promoting your material or Shop Causes. You acknowledge that Cyberplex Interactive Media Inc. may be required to compress or perform other technical processing of your uploaded information due to technical limitations on Shop Causes.

Security of Your Account and Password

You are solely responsible for maintaining the confidentiality of any and all passwords and accounts related to Shop Causes, and for any and all activities which occur under your account. You agree to immediately notify Cyberplex Interactive Media Inc. of any unauthorized use of your account.

Your Conduct

  • (a) Your use of Shop Causes is subject to all applicable laws and regulations, including etiquette.
  • (b) You agree not to upload or otherwise transmit through Shop Causes any unlawful, harassing, libelous, abusive, profane, threatening, harmful, vulgar, obscene, sexually explicit, pornographic, illegal or otherwise objectionable material of any kind or nature.
  • (c) You further agree not to gain or attempt to gain unauthorized access to other com-puter systems via Shop Causes.
  • (d) You agree not to upload or otherwise transmit through Shop Causes any material that: (i) infringes on any third party rights; and (ii) contains any virus or other harmful code that may change or disrupt Shop Causes or any other user's equipment or soft-ware.
  • (e) Your right to use Shop Causes is personal to you. You agree not to resell or make any commercial use of Shop Causes or transfer your rights herein, without the express written consent of Cyberplex Interactive Media Inc. Consent shall be at sole discretion of Cyberplex Interactive Media Inc.
  • (f) You agree not to make any use of Shop Causes related to marketing a product or service to the individuals and companies listed on Shop Causes or to download, copy, reproduce or distribute by electronic means or otherwise a list of individuals or compa-nies listed on Shop Causes. Any such use is unauthorized and strictly prohibited. This prohibition extends to all individuals and companies, regardless of membership status on Cyberplex Interactive Media Inc. You agree that by violating these Terms, damages will be suffered by Cyberplex Interactive Media Inc., the exact amount of damages be-ing difficult or impractical to establish. As such, for any violation of these terms, you agree to pay liquidated damages to Cyberplex Interactive Media Inc to be determined on a case by case basis.

    Cyberplex Interactive Media Inc. neither endorse or assume any liability for the contents of any material uploaded or submitted by third party users of Shop Causes. Shop Causes acts only as a passive conduit for online information submitted to ShopCauses. Cyberplex Interactive Media Inc. retains the right to delete content that it deems in its sole discretion to be objectionable, but makes no claim to ensure that all objectionable or illegal content will be removed from Shop Causes. You hereby consent to such removal and waive any claim against Cyberplex Interactive Media Inc. arising out of such file removal. You acknowledge and agree that, during the course of providing Shop Causes, Cyberplex Interactive Media Inc. may be required to grant access to a third party and/or decrypt files in response to a court order or in response to a request from law enforcement or other government authority. You hereby consent to such legal production and waive any claim against Cyberplex Interactive Media Inc. arising out of such court order.

    The entire content of Shop Causes in aggregate is owned by Cyberplex Interactive Media Inc., and protected as a collective work under United States, Canadian, and international intellectual property laws, treaties and conventions, including the Berne Convention for the Protection of Literary and Artistic Works. Portions of Shop Causes are provided to Cyberplex Interactive Media Inc. under license. The copying, reproduction, or publication of any part of Shop Causes is prohibited, unless expressly authorized in writing by Cyberplex Interactive Media Inc. No copyrighted material may be uploaded or submitted to any Website by anyone with-out the permission of the copyright owner or persons authorized by the copyright owner. You are solely responsible for obtaining all such necessary permission at your sole cost and expense before submitting any such material to Shop Causes. You acknowledge that content, including but not limited to text, music, sound, photo-graphs, video, graphics or other material contained on Shop Causes is owned or li-censed by Cyberplex Interactive Media Inc. and other third parties and is protected by copyrights, trade-marks and/or other rights and laws. You may download the material available on Shop Causes for your personal, non-commercial use only. Except as may be permitted by copyright law, you are responsible for obtaining permission from the copyright owner before reusing any copyrighted material that is on Shop Causes. In the event of any permitted copying, redistribution or publication of copyrighted material from Shop Causes, no changes in or deletion of author attribution, trade-mark legend or copyright notice shall be made. You acknowledge that you do not acquire any ownership rights by downloading copyrighted material from Shop Causes.

    Donations

    Donations to the causes are made within 30 calendar days of the end of each calendar quarter (“donation date”) for those accounts that have raised at least $20. For accounts with less than $20 raised, donations will be made on earlier of the first donation date after the account has $20 or the first donation date that is one year from the quarter in which the account was created. We reserve the right to modify the donation payment schedule to ensure that administration costs remain efficient and do not cause undue burden to us or the causes.

    We are not affiliated with any of the causes listed on Shop Causes. Merchant relationships are subject to change from time-to-time by us without notice. Donation amounts are expressed as a percentage of the sale, excluding applicable taxes, shipping and handling and other charges. Donation amounts are established by the merchant and displayed at or near the store information. In some cases, donation percentage varies by product and may not be displayed. Where percentage is not displayed, you may contact us to for more information. Shop Causes is not a charitable foundation, or a not-for-profit organization. A percentage of sales is retained by Shop Causes for its own benefit including but not limited to contributions towards administrative, development and other expenses.
